Please review the following job description:

The Technology, Privacy, and Cyber Contracts Counsel role will provide legal support to the bank concerning data / technology contract issues, including privacy and cybersecurity contract terms with third parties. On a day-to-day basis, the attorney in this role will review and approve vendor contracts and other third-party arrangements; negotiate favorable contract terms with third parties; and provide legal advice concerning technology, privacy, and cybersecurity issues. This attorney will be a member of the Technology Group within the Truist Legal Department and will work closely with various business units, including Privacy and Corporate Cyber Security.


Following is a summary of the essential functions for this job. Other duties may be performed, both major and minor, which are not mentioned below. Specific activities may change from time to time.

Candidates should have a demonstrated capability in data / technology contracting issues as well as privacy and cybersecurity, and should have an interest in being part of a specialized and fast-paced in-house practice supporting a broad array of business uses of data and technology while navigating third-party privacy/cybersecurity risk and a complex regulatory landscape. A combination of applicable transactional experience in the areas of general corporate, corporate finance, information technology transactions and/or financial institution experience is preferred. A background in supporting contracting efforts in house at an organization relative to information technology, outsourcing or cloud services is also preferred, as is experience with other strategic supply chain transactions.

In addition to the above, specific skills, experience and qualifications relevant to this position also include the following:

• A strong interest in working on cutting edge matters in technology, privacy and cybersecurity for a large financial institution.

• Privacy Laws and Regulations: Experience with privacy related laws and regulation, including but not limited to those particularly relevant to the financial industry - GLBA, FCRA, FACTA, FDCPA. Knowledge of state privacy legislation such as CCPA/CPRA, VA, CO, and other state level proposed legislation is also desirable. This role may assist the greater technology & privacy legal team in supporting Truist with regards to interpretation of privacy law and its application to our systems, offerings, and processes (both internal and customer facing).

• Cybersecurity: Experience counseling clients on cybersecurity matters, including the analysis of security risks in corporate transactions. Candidates should also have an understanding of IT and Security technical concepts and methodologies.

• IP Ownership/Licensing: Support establishing and protecting Truist’s intellectual property (as well as legacy IP) and provide counsel on the implementation of marketing plans.

• Cloud Contracting: Candidates should have a general understanding and preferably some experience with negotiation of cloud contracts. An understanding and general awareness of cloud related concerns/topics including but not limited to data privacy and security standards, disaster recovery, encryption, geographical restrictions, regulatory and compliance issues, service level requirements and penalties, change management processes, business continuity, mandatory flow-down of terms to subcontractors, and termination rights.

• Offshoring: Experience reviewing and negotiating contracts and addressing legal concerns relative to the offshoring of information technology.

  1. Juris Doctorate degree from an ABA accredited law school and licensed to practice law in good standing

  2. 5 years of post-bartransactional legal experience specific to technology and outsourcing practice.

  3. Proven self-starter willing to work independently and take on a good deal ofresponsibility, with a strong background in technology contracts and related work experience.

  4. Ability to prioritize matters, utilize time management skills, and move between matters fluidly

  5. Ability to handle a heavy workload, manage stress effectively and meet critical deadlines

  6. Team-oriented mentality and excellent interpersonal skills

  7. Demonstrated proficiency in basic computer applications, such as Microsoft Office software products

Preferred Qualifications:

  1. Related certifications: Candidates with either a CISSP or CIPP certification are preferred; additional certifications in the privacy and cybersecurity field will be viewed favorably

  2. Experience in a corporate legal department, especially a financial institution, having successfully held positions of advancing responsibility

  3. Comfortable working in the entrepreneurial environment of a large, complex corporation
